End User License Agreement

Grant of License

Aspen Instruments LLC ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable license to use the audio plugin software ("Software") purchased or downloaded through this website, subject to the following terms.

Permitted Uses

This license allows you to:

• Install and use the Software on multiple computers you own or control
• Use the Software for personal or commercial music production
• Use audio created with the Software in your commercial productions
• Make backup copies of the Software for archival purposes

Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works of the Software
• Remove or alter any copyright, trademark, or other proprietary notices
• Redistribute, sell, rent, lease, or sublicense the Software
• Share the Software with third parties without prior written consent
• Use the Software in any way that violates applicable laws

Free Products

Plugins offered for free are subject to the same terms as paid products. "Free" refers to the absence of monetary cost, not public domain or open source licensing.

Ownership

The Software is licensed, not sold. Aspen Instruments LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. This license does not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other rights with respect to the Software.

Legal Compliance

You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable laws regarding the use of the Software.

Data Collection

Our audio plugins do not collect or transmit any personal data or usage information. All audio processing occurs locally on your computer.

This website collects only the minimum information necessary to process transactions and provide customer support. Please see our Privacy Policy for details.

Updates

Aspen Instruments LLC may provide updates, upgrades, or supplements to the Software at its sole discretion. Any such updates will be subject to this license agreement unless a separate license accompanies the update. You are not entitled to claim any updates.

Disclaimer of Warranties

This Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and noninfringement. Aspen Instruments LLC does not warrant that the Software will meet your requirements or that operation of the Software will be uninterrupted or error-free.

Limitation of Liability

In no event shall Aspen Instruments LLC be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if Aspen Instruments LLC has been advised of the possibility of such damages.

In no event shall Aspen Instruments LLC's total liability to you for all damages, losses, and causes of action exceed the amount paid by you for the Software.

Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this agreement. Upon termination, you must destroy all copies of the Software in your possession.

Severability

If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions of this agreement will remain in full force and effect.

Waiver

The failure of Aspen Instruments LLC to enforce any right or provision of this agreement will not be deemed a waiver of such right or provision.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

Entire Agreement

This agreement constitutes the entire agreement between you and Aspen Instruments LLC regarding the Software and supersedes all prior agreements and understandings, whether written or oral, relating to the Software.
